Terms of Service
Agreement to these Terms
These Terms govern access to and use of the Sotero public website, public accounts, authentication services, protected downloads, and related website features provided by Sotero, Inc. (“Sotero,” “we,” “us,” or “our”). By creating an account or using an authenticated service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not create an account or use the authenticated services.
Eligibility and organizational authority
You must be legally capable of entering into these Terms. If you act for an employer or another entity, you represent that you have authority to bind that entity and that “you” includes the entity where applicable. A separately signed master agreement, order form, or other written agreement with Sotero controls to the extent it expressly conflicts with these Terms.
Accounts and authentication
You may authenticate through a manual Sotero account or an enabled third-party identity provider. You must provide accurate information, safeguard credentials, and promptly notify Sotero if you believe an account is compromised. You may not sell, transfer, misuse, or access another person’s account. Third-party identity services are governed by their own terms and privacy policies.
Software downloads and license terms
Downloading or using Sotero software is governed by the EULA or other software agreement presented for that software and version. Acceptance of these website Terms does not replace software-license acceptance. If these Terms conflict with an applicable EULA regarding software use, the EULA controls for that software.
If your employer has a master written license agreement with Sotero, that agreement may govern software use and take precedence over a click-through agreement. Marketplace downloads may also be subject to marketplace terms.
Acceptable use and restrictions
You must not:
- Violate applicable law or another person’s rights.
- Misrepresent your identity, affiliation, or authority.
- Probe, disrupt, overload, damage, or bypass website, authentication, EULA, download, rate, user, timing, or usage controls.
- Use automated means to abuse accounts, authentication, or download services.
- Introduce malicious code or attempt unauthorized access to Sotero systems or another user’s information.
- Copy, modify, distribute, sell, sublicense, lease, lend, or create derivative works from Sotero materials except as expressly permitted.
- Reverse engineer, decompile, disassemble, or attempt to discover source code, underlying ideas, techniques, or algorithms except where mandatory law expressly permits it.
- Use Sotero software or documentation for timesharing, service-bureau, or third-party access except as expressly authorized in the applicable software agreement.
Ownership and feedback
The Sites, software, documentation, branding, and related materials are owned by Sotero or its licensors and are protected by intellectual-property and other laws. These Terms do not transfer ownership. Rights to downloaded software are limited to those expressly granted in the applicable EULA or written agreement.
If you voluntarily provide suggestions, enhancement requests, recommendations, or other feedback, you permit Sotero to use, reproduce, modify, distribute, and otherwise exploit that feedback without restriction or compensation, subject to applicable law. Do not submit information you consider confidential through a feedback channel unless a written agreement provides otherwise.
Privacy
Sotero handles personal information as described in the Privacy Policy. Account and privacy requests may be submitted through the Account and Privacy Requests page.
Availability and changes
Sotero may update, replace, suspend, or discontinue a Site feature, artifact, or software version for security, legal, support, or operational reasons. We do not guarantee uninterrupted or error-free operation. Maintenance, provider outages, security events, and circumstances outside reasonable control may affect availability.
Suspension, termination, and account deletion
Sotero may suspend or terminate access for material violations, security risk, fraud, abuse, legal requirements, or discontinuation of a service, subject to applicable law. You may stop using the service and delete a signed-in account through Account settings.
Account deletion removes credentials and active sessions and marks the account deleted. Limited identity and associated authentication, consent, EULA-acceptance, and download history may be retained for applicable legal, security, fraud-prevention, dispute-resolution, and license-audit periods. A later registration creates a separate account. Provisions that should survive by their nature—including ownership, restrictions, disclaimers, liability limits, and general terms—continue after termination.
Disclaimers
THE SITES AND WEBSITE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOTERO DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOFTWARE WARRANTIES AND REMEDIES, IF ANY, ARE PROVIDED ONLY IN THE APPLICABLE EULA OR WRITTEN AGREEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) SOTERO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR LOST DATA, LOST PROFITS, LOSS OF BUSINESS OR GOODWILL, COST OF SUBSTITUTE SERVICES, OR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SITES OR WEBSITE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE; AND (B) THE CUMULATIVE LIABILITY OF SOTERO AND ITS SUPPLIERS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITES OR WEBSITE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID SOTERO FOR THE WEBSITE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS DO NOT EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
General terms
If a provision is held invalid or unenforceable, the remaining provisions remain in effect. A waiver must be in writing and does not waive another provision or later breach. You may not assign these Terms without Sotero’s prior written consent. Each party is responsible for compliance with laws applicable to its performance, including export-control and data-protection laws.
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, fires, floods, earthquakes, strikes, infrastructure failures, or widespread provider outages, provided any notice required by law is given.
Governing law and disputes
Subject to mandatory consumer-protection law, these Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. You and Sotero consent to the exclusive jurisdiction and venue of the state and federal courts located in Boston, Massachusetts, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, accounts, or systems.
Changes and contact
Sotero may update these Terms by posting a revised version and providing any additional notice required by law. Questions may be sent to legal@sotero.ai. Legal notices to Sotero must also be delivered to Sotero, Inc., 1500 District Ave, Burlington, Massachusetts 01803, USA, Attention: Legal Counsel.
